The governance record is in three places, and none of them is the record
Board decisions are the most consequential thing a company writes down, and they are usually the least well kept.
The approval is in an email
A director replied "agreed" on a thread, and that reply is now the record. It is findable by exactly one person, and only while they still work here.
Twelve files, one of them current
Minutes, the register, a policy and four drafts of the same resolution sit in one folder. Nothing on the outside of a file says whether it was ever adopted.
The rest is remembered
Why a limit was raised, who consented, whether it went to the board at all. Fine until a diligence request, an audit or a new director asks for the trail.
A meeting that keeps going after everyone leaves
Calendar, agenda, minutes, resolutions, written consents and the action items that come out of them are one chain, not six tools.
- Meetings and matters - a board calendar, an agenda parking lot, and commitments carried forward
- Decisions - resolutions voted from each director's secured link with a one-time code, written consents, and reserved matters flagged before the vote
- Directors and register - profiles, committees, composition, conflicts of interest, and training
- Analytics - attendance, decision follow-through, and how engaged the board actually is
- 1AgendaItems proposed, papers attached, parking lot carried forward
- 2MinutesRecorded against the item that produced them
- 3ResolutionProposed, voted, and marked passed or not
- 4SignaturesCirculated as a written consent when the board does not sit
- 5Action itemsOwner, due date, and a commitment that outlives the meeting
The rules the company runs on, written down
Insider-trading controls, designated persons and the corporate records archive, kept beside the decisions that set them.

The board book, sent to directors
Choose what goes in and compile the book as a PDF. Each director gets a secured link to the meeting: the papers, their reply, their votes and consents, in one place. You see what was sent, opened and done. No account to create: a one-time code goes to their email, every copy of the papers is marked with their name, and the link stops 14 days after the meeting or when you withdraw it.
When insiders can trade
Designated persons, trading windows you open and end yourself with notice to the people affected, and pre-clearance requests, kept as a record rather than an email reminder, where your listing rules require it.

The records book
Search across minutes, resolutions, consents and action items, with the registers one click away, kept in one corporate records archive beside the decisions that created them.

Every board record links to the one before it
Resolutions, votes and director appointments and cessations are written into an append-only trail where each entry carries the fingerprint of the entry before it. Change one after the fact and the chain no longer joins up, which is exactly what makes it worth standing behind years later.
- Append-only - entries are added, never edited or removed
- Hash-chained - each entry carries the fingerprint of the last
- Verifiable - the chain can be re-checked on demand, from the Board register
A first draft of the paperwork
The slow part of a meeting is the writing around it. Start from a draft instead of a blank page, and keep every decision with the people who make it.
- Agenda - drafted from open matters and carried-forward items, for the secretary to edit
- Minutes - drafted from your notes or a transcript, then reviewed, approved and published
- Chair prep brief - what to cover before the chair opens the meeting
Summary
The board reviewed the quarter, approved the revised budget and asked for a quarterly review of spend.

Drafts are suggestions. Read the draft against your own record before publishing.
Be ready for the question before it is asked.
Diligence, an audit, a new director, a regulator. FinPera keeps the board and governance record in one place so the answer is a link, not a search. Built for company secretaries, general counsel, CFOs and the boards they serve.
